Letter of Engagement – Sub-Contractor Agreement

Dear Matias,

We are pleased to confirm your engagement as a Videographer for LOVR AGENCY (the "Principal") on the terms and conditions set out below.

This Agreement is made between:

LOVR AGENCY of 4 Starling Street, Burleigh Heads, Queensland 4220 ("the Principal");

and

Matias Lado Masson of 2/38 Barrett Drive, Lennox Head NSW 2478 ("the Contractor").

1 Engagement

1.1 This Agreement commences on Monday, 22 June 2026 and continues until terminated in accordance with this Agreement.

1.2 The Contractor is engaged as an independent Videographer and Content Creator and not as an employee.

1.3 Nothing in this Agreement creates an employment, partnership or agency relationship.

1.4 The Contractor is responsible for their own taxation, GST, superannuation, insurance and statutory obligations.

1.5 The Contractor will provide their own tools, camera equipment and accessories necessary to perform the Services unless otherwise agreed.

2 Scope of Services

3 Terms of Engagement

3.1 Either party may terminate this Agreement by providing one (1) week's written notice.

3.2 Where reasonably practicable, the Contractor will provide four (4) weeks' notice of any extended leave or unavailability.

3.3 The Contractor acknowledges they are not entitled to annual leave, personal leave, public holidays or any other employee entitlements under the Fair Work Act 2009.

4 Fees and Payment

4.1 The Contractor will be paid a fixed fee of $1,800 per week inclusive of GST.

4.2 Invoices are to be submitted weekly, on a Friday.

4.3 A valid tax invoice submitted on a Friday will be paid on the following Friday.

4.4 The Contractor is responsible for all taxation, GST, superannuation and statutory obligations arising from fees paid under this Agreement.

5 Travel and Expenses

5.1 The weekly fee is intended to cover the provision of Services and ordinary travel within the Gold Coast and Byron Bay regions.

5.2 Where the Principal requires the Contractor to attend client shoots, meetings or engagements outside the Gold Coast region, including Brisbane, the Contractor will be entitled to a fixed travel allowance of $80 per day.

5.3 The travel allowance is intended to cover all travel-related expenses including fuel, vehicle expenses, parking and tolls, and no additional reimbursement shall be payable unless otherwise agreed in writing.

5.4 Travel requiring overnight stays or travel outside South East Queensland shall be subject to prior approval, with any additional expenses to be agreed in advance.

6 Reporting and Collaboration

6.1 The Contractor will report to the Managing Director or Creative Director.

6.2 The Contractor agrees to utilise approved communication and project management platforms.

6.3 The Contractor will participate in project planning sessions and team meetings as reasonably required.

7 Working Hours and Availability

7.1 Standard working availability for editing, planning, project organisation and work-from-home days is Monday to Friday, 9:00am to 5:00pm AEST, unless otherwise agreed.

7.2 Shoot days are not subject to standard hours. Start and finish times on shoot days are dictated by client requirements, travel and optimal lighting conditions, and may involve earlier starts or later finishes, including sunrise and sunset shoots. This is standard across the creative team and is inherent to the nature of content production.

7.3 In recognition of the above, the Principal offers flexibility by way of time in lieu. Where the Contractor works an extended shoot day, the Contractor may finish earlier on a subsequent work-from-home day to balance hours, as reasonably agreed.

7.4 The weekly structure will vary according to the content schedule and client requirements. On average, the Contractor can expect approximately two to three shoot days per week, with the remaining time allocated to editing, planning and project organisation. Some weeks will involve more shooting and others more editing.

7.5 Given the level of flexibility and autonomy provided, the Contractor is expected to maintain regular communication throughout the working day and to remain present and available for team meetings and project discussions. Consistent communication is an essential part of the remote working arrangement.

8 Confidentiality

8.1 The Contractor agrees not to disclose any confidential information relating to the Principal or its clients except as required in performing the Services.

8.2 This obligation survives termination of this Agreement.

9 Intellectual Property

9.1 All footage, photographs, creative assets, edits, raw files, concepts and deliverables created by the Contractor in connection with the Services remain the sole property of the Principal.

9.2 The Contractor assigns all rights, title and interest in such works to the Principal upon creation.

9.3 The Contractor may use completed work for portfolio purposes only with prior written approval from the Principal.

10 Data Protection and Privacy

The Contractor must comply with the Privacy Act 1988 (Cth) and safeguard confidential and personal information from misuse, loss or unauthorised disclosure.

11 Non-Solicitation

For a period of twelve (12) months following termination, the Contractor must not:

13 Review Period and Employment Consideration

13.1 The Principal conducts quarterly performance reviews for all team members.

13.2 At the conclusion of the initial three-month period (on or around 1 August 2026), the Principal may review the Contractor's performance, capability and cultural alignment for the purpose of assessing suitability for an employment position.

13.3 Nothing in this Agreement guarantees or creates an entitlement to employment.

13.4 Any employment arrangement would be subject to a separate written employment agreement.

14 Entire Agreement

14.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.

14.2 Any amendments must be made in writing and signed by both parties.

I, Matias Lado Masson, have read and understood the terms of this Sub-Contractor Agreement and accept this engagement with LOVR AGENCY on the terms set out above.
